Invesco MSCI Europe Catholic Principles UCITS ETF (the "Fund") A sub-fund of Invesco Markets II plc (the "Umbrella Fund") Dist (ISIN: IE00BG0NY640) (the "Share Class") The Fund is managed by Invesco Investment Management Limited, part of the Invesco Group. Objectives and Investment Policy The Fund is a passively managed Exchange-Traded Fund ("ETF"). The investment objective of the Fund is to achieve the net total return performance of the MSCI Europe Select Catholic Principles Selection 10-40 Index (the “Index”)1, less fees, expenses and transaction costs. To achieve the investment objective the Fund will, as far as possible and practicable, hold all the securities in the Index in their respective weightings. To replicate the Index, the Fund may invest up to 20% of its Net Asset Value in shares issued by the same body, and up to 35% in exceptional market circumstances. The Fund's shares are listed on one or more Stock Exchange(s). Investors can buy or sell shares daily through an intermediary directly or on Stock Exchange(s) on which the shares are traded. In exceptional circumstances investors will be permitted to redeem their shares directly from Invesco Markets II plc in accordance with the redemption procedures set out in the prospectus, subject to any applicable laws and relevant charges. The Fund is an Article 8 Fund (it promotes environmental and/or social characteristics) for the purposes of Regulation (EU) 2019/2088 of the European Parliament and of the Council of 27 November 2019 on sustainability-related disclosures in the financial services sector ("SFDR"). The Fund may use derivative instruments for the purposes of managing risk, reducing costs or generating additional capital or income. Derivatives on an index may contain some underlying constituents which may not meet the ESG criteria. The Fund’s base currency is EUR. Dividend Policy: This share class declares and distributes a dividend on a quarterly basis. Net Asset Value: This is calculated daily and the Fund is open for subscriptions and redemptions on each day the Trans-European Real-time Gross Settlement Express Transfer (TARGET-2) is open. The Index: The Index is a free float-adjusted market capitalisation index designed to represent the performance of companies with high environmental, social and governance (“ESG”) ratings relative to sector peers. The Index is comprised of securities in the form of equities and is constructed from the MSCI Europe Index (the “Parent Index”). The Index aims to target sector weights that reflect the relative sector weights of the Parent Index to limit the systematic risk introduced by the ESG selection process. The Index excludes, as per the standard MSCI SRI methodology, companies showing involvement (as defined by the index provider) in the following activities: controversial weapons, civilian firearms, nuclear weapons, tobacco, alcohol, gambling, genetically modified organisms, nuclear power, extraction of unconventional oil and gas, fossil fuel reserves and thermal coal. The Index also excludes companies that are considered not to be in accordance with Catholic Principles as evaluated based on their involvement in the following activities: stem cells, adult entertainment, conventional weapons, abortion, contraceptives, animal testing and failing to comply with the United Nations guiding principles for business and human rights. The remaining securities in the Index are weighted in proportion to their free float-adjusted market capitalisation. The MSCI 10/40 Indexes methodology is applied to securities which qualify for inclusion in the Index such that the weight of any single group entity is capped at 10% and the sum of all group entities with a weight of more than 5% is capped at a maximum of 40%.
