Type Ordinary shares of an authorised closed-ended investment company incorporated in Guernsey. Objectives JZCP has investments in US and European micro-cap companies, as well as real estate properties in the US. In August 2020, the Company's shareholders approved changes to the Company’s investment policy. Under the policy, the Company will now make no further investments except in respect of which it has existing obligations and to continue selectively to support the existing portfolio. The intention is to realise the maximum value of the Company's investments and, following the repayment of all the Company’s debt (completed December 2023), to return capital to shareholders (commenced July 2024). The product has no maturity date. However, the implementation of the new policy would lead to the return of capital to shareholders as realisations allow and the ultimate winding up and liquidation of JZCP (a process which is expected to be completed within 3 years). JZCP does not intend to make any distributions to shareholders other than by way of such return of capital. The market value of the shares can be realised by their sale through a bank or stockbroker. Intended retail investor This product is intended for retail investors who: i. have a long-term investment horizon of up to 3 years; ii. are able to bear a total loss of the invested amount; iii. have a basic knowledge of, and experience with, financial products and the financial markets generally; and iv. have a growth investment objective. What are the risks and what could I get in return? Risk Indicator The summary risk indicator is a guide to the level of risk of this product compared to other products. It shows how likely it is that the product will lose money because of movements in the markets or because JZCP are not able to pay you. JZCP have classified this product as 6 out of 7 which is the second-highest risk class. This rates the potential losses from future performance at a high level. The market price of the product has not historically tracked JZCP's net asset value per share. Changes in leverage may impact the volatility of the market price of the product. This product does not include any protection from future market performance so you could lose some or all of your investment. # 1 2 3 4 5 6 7 The risk indicator assumes you keep the product for 3 years. The actual risk can vary significantly if you sell your shares earlier and you may get back less. The price of shares can go down as well as up. Lower risk Higher risk Key Information Document (“KID”) What are the risks and what could I get in return? (continued) Performance Scenarios This table shows the money you could get back over the next three years under different scenarios, assuming that you invest £10,000. The scenarios shown illustrate how your investment could perform. You can compare them with the scenarios of other products. The scenarios presented are an estimate of future performance based on evidence from the past on how the value of this investment varies and are not an exact indicator. What you will get will vary depending on how the market performs and how long you keep the investment/product. The stress scenario shows what you might get back in extreme market circumstances and it does not take into account the situation where JZCP are not able to pay you. The figures shown include all the costs of the product itself but may not include all the costs that you pay to your advisor or distributor. The figures do not take into account your personal tax situation, which may also affect how much you get back. What happens if JZCP is unable to pay out? JZCP will have no direct payment obligations to you, as a shareholder, other than to the extent any dividends or other returns are declared. However, if JZCP were to enter default or bankruptcy it is likely that the market value of the product would decline substantially, and it may become worthless. The product is not covered by an investor compensation or guarantee scheme, and you would not be able to make a claim in the event that JZCP were unable to pay any dividends or other returns it may elect to pay from time to time, or if it were unable to pay any amounts due to you on a winding up at the end of its life. If you sell your shares on the London Stock Exchange, your bank or stockbroker will receive cash on delivery of your shares and should pass that to you. What are the costs? The Reduction in Yield (RIY) shows what impact the total costs you pay will have on the investment return you might get. The total costs take into account one-off, ongoing and incidental costs. The amounts shown here are the cumulative costs of the product itself, for three different holding periods. They include potential early exit penalties. The figures assume you invest £10,000. The figures are estimates and may change in the future. The manufacturer is required to include the information above and below without any changes. The law was drafted for investments which pay returns directly to investors, not those for which a return is expected to be delivered by the investor selling shares on a market. The performance scenarios above are shown based on share price returns together with returns for dividends or other distributions. They are entirely independent of the costs shown below, all of which are borne by the product and have no direct impact on investment performance of the product. If you sell your shares, you would pay your bank’s or stockbroker’s dealing charges and be selling at the then available market bid price. That is likely to be lower than the offer price at which others could buy shares at that time. Share prices in the media are typically the mid-price, being halfway between the bid and the offer price. Costs Over Time The person selling you or advising you about this product may charge you other costs. If so, this person will provide you with information about these costs, and show you the impact that all costs will have on your investment over time. 1 year What you might get back after costs £302 £3,531 Percentage return -96.98% -64.69% What you might get back after costs £1,800 £5,340 Percentage return -82.00% -46.60% What you might get back after costs £10,352 £10,100 Percentage return 3.52% 1.00% What you might get back after costs £18,333 £14,212 Percentage return 83.33% 42.12% 3 years (Recommended holding period) Stress scenario Unfavourable scenario Moderate scenario Favourable scenario Investment £10,000 Scenarios Investment £10,000 1 year Scenarios 3 years (Recommended holding period) Total costs Impact on return (RIY) per year £255 £746 2.55% 2.55% Key Information Document (“KID”) What are the costs?
