Type The product represents Ordinary Shares of Partners Group Private Equity Limited ('Company'), which is an investment holding company domiciled in Guernsey that invests in private market investments. Investments include direct investments and also primary (newly created) and secondary (pre-existing) fund investments. The product manufacturer is Partners Group AG, Switzerland, the global private markets investment manager, in accordance with an investment management agreement. The Company's shares are traded on the London Stock Exchange. The Company is an evergreen structure, i.e. it has no maturity date. The liquidation of the Company requires a decision taken by the shareholders (investors) of the Company and is subject to quorum and majority requirements as stipulated in the 'Liquidation' section in the Company's articles of incorporation. The product manufacturer is not entitled to terminate the Company unilaterally. It shows how likely it is that the product will lose money because of movements in the markets or because we are not able to pay you. Objective The Company 's investment objective is to provide Shareholders with long-term capital growth and an attractive dividend yield primarily through investment in a diversified portfolio of private equity direct investments. The Company seeks to achieve its investment objective by investing primarily in private equity direct investments, which are investments in the securities or other interests of (typically unlisted) operating companies or assets and which include buyout, growth capital and/or special situations investments. Specifically, direct investments may include, inter alia, direct equity investments in, typically but not exclusively unlisted, operating companies through equity, debt and/or related securities issued in connection with acquisitions, buyouts, expansion oppor-tunities, privatizations, recapitalizations, similar negotiated transactions, and special situations. The Company's investments take many different forms and may include, without limitation, stocks, shares, limited partnership interests, limited liability company interests, warrants, options, bonds, notes, debentures and other securities and equity interests of whatever kind, whether or not publicly traded or readily marketable. The Company, or its subsidiary, may make investments directly or indirectly through special purpose vehicles, and through pooling vehicles (being funds organised by the product manufacturer or any of its affiliates). What could affect my return negatively?: The price of a Share in the Company is impacted by the Net Asset Value of the Company, which is in turn driven by the value of the underlying investments. As such, the Company is expected to generate lower returns in periods where the value of the Company' underlying investments develop unfavourably; this could be attributed to the Investment Manager's investment selection, asset allocation and value creation processes, and may be further driven by general unfavourable economic, geopolitical, and market conditions.
